1 - Provider identity and scope
These terms govern all services supplied by NEEBSURA CONSULTING, a French simplified joint-stock company (SAS) with share capital of €1,000, registered with the Paris Trade and Companies Register under number 993 075 480, whose registered office is at 200 rue de la Croix Nivert, 75015 Paris, France. They apply exclusively to customers acting for business purposes.

Training is intended for B2B decision-makers: business leaders, executive management, sales and marketing directors and managers, as well as their internal teams. It is also offered to companies, schools and associations for professional purposes.
The Customer confirms that it has authority to enter into the agreement.
NEEBSURA CONSULTING does not accept private consumer orders. The business-only scope does not remove any mandatory statutory protection applicable to the Customer. In particular, Article L.221-3 of the French Consumer Code may extend certain protections, including a fourteen-day withdrawal right, to off-premises contracts between professionals where the contract falls outside the solicited professional’s principal activity and that professional employs no more than five people. Where this regime applies, the required information and withdrawal form must be provided before the Customer commits, and statutory restrictions on starting work and taking payments apply. The accepted quotation prevails for its specific provisions, subject to mandatory law.
2 - Services
Services include digital strategy, Social Selling, LinkedIn visibility, B2B prospecting and business development consulting; audits and action plans; professional content and profile work; packages for micro, small, mid-market and large companies; and individual or remote group training.
The accepted quotation defines the exact scope, deliverables, timetable, prerequisites and exclusions. Website content describes the general offer and does not replace the quotation.
3 - Orders and contract formation
After reviewing the Customer’s needs, the Provider may arrange a preliminary meeting and issue a quotation describing the assignment, deliverables, estimated duration, price excluding VAT, applicable VAT, timetable and payment terms.
Unless stated otherwise, quotations remain valid for thirty days. An order becomes binding once the quotation and these terms have been expressly accepted and the required payment or deposit has cleared.
4 - Mandatory preliminary sessions
Every package begins with a Premium Diagnostic. Its standard fee is €40 including VAT, subject to promotions announced before booking. This 45-to-60-minute session assesses the Customer’s needs and may lead to a tailored quotation. If the Customer subsequently subscribes to a package, the paid Premium Diagnostic fee is fully deducted from the related invoice. If the appointment takes place without a package subscription, the fee paid remains due and is non-refundable.
Enrolment in any training programme is preceded by a Training Coaching appointment, booked through the dedicated Calendly link. Its standard fee is €25 including VAT, subject to promotions announced before booking. The session clarifies objectives, level, format, participants and any required adjustments to identify the appropriate programme. Booking this session does not oblige the Customer to subsequently purchase training. If the Customer enrols in training, the amount actually paid for the Training Coaching is deducted from the related invoice.
2026 launch offers: from 2 November to 2 December 2026 inclusive, code DIAGNOSTIC30 offers the Premium Diagnostic at €28 incl. VAT instead of €40 (30% off); code COACHING30 offers the Training Coaching at €17.50 incl. VAT instead of €25 (30% off). From 3 December 2026, the standard fees of €40 incl. VAT and €25 incl. VAT apply respectively.
Subject to any applicable statutory withdrawal right, cancellation of a paid session at least 48 hours before the appointment entitles the Customer to a full refund. Between 24 and 48 hours before the appointment, the Customer may request one free reschedule; the amount paid will be carried over to the new time slot. Cancellation less than 24 hours before the appointment or non-attendance is non-refundable. These terms also apply to the Training Coaching.
5 - Prices, taxes and invoicing
Applicable prices are shared after reviewing the Customer’s needs and confirmed in the quotation. They are stated in euros excluding tax; VAT is added at the statutory rate. Promotions apply only during their stated period and under their announced conditions.
External costs are included only where expressly stated. Invoices are issued in accordance with applicable rules.
6 - Payment terms
Depending on the offer, payment is made in full by card through Stripe, by bank transfer with a 30% deposit upon order, or in three card instalments through Stripy, subject to the terms specified in the quotation. Three-instalment payment through Stripy is available for quotations with a total value of €800 excluding VAT or more.
The card payment link or bank transfer details are sent once the quotation has been signed. For full card payment, work starts once payment is confirmed. For bank transfer, work starts once the 30% deposit has cleared, with the remaining balance paid before final delivery of the service.
For three-instalment payments, work starts once the first payment has been confirmed. Final delivery follows the schedule agreed for the selected service without waiting for the end of the three instalments. The two remaining instalments are collected automatically according to the Stripy schedule.
NEEBSURA CONSULTING does not retain full card details. In case of a payment incident, the Provider may suspend support until regularisation.
Late payments automatically accrue interest at three times the French statutory rate and a fixed €40 recovery fee. The Provider may suspend work, delay delivery and accelerate outstanding sums.
7 - Performance and Customer cooperation
Timetables are estimates unless expressly agreed otherwise and may change due to complexity, Customer feedback, technical constraints or third parties.
The Customer must appoint an authorised contact, provide accurate and lawful information and access on time, review approval items, comply with platform rules and protect credentials. Customer delay may move the timetable and generate an additional charge where extra work is required.
8 - Professional training
Objectives, programmes, prerequisites, duration, delivery method, capacity, teaching resources and price are specified during the Training Coaching appointment, in the proposal or quotation. Formats include individual video sessions or remote groups.
Training materials are for internal business use and may not be distributed, resold, adapted or publicly reproduced without permission. Enrolment does not confer certification, a diploma or guaranteed commercial results.
9 - Cancellation or termination
Requests must be made in writing. Subject to applicable statutory withdrawal rights and unless the quotation states otherwise, amounts already collected, including any deposit where applicable, completed work and committed costs remain payable, and unpaid deliverables may not be used. If the Provider terminates without Customer fault, amounts relating to unperformed work are refunded.
A material breach may lead to termination where a formal notice remains unremedied for fifteen days, except in an urgent or irremediable situation.
10 - Duty of care and liability
The Provider is subject to a duty of reasonable care and does not guarantee prospect volumes, meetings, sales, revenue, reach, visibility or any numerical result.
Liability is limited to direct, foreseeable loss. Except for gross negligence, wilful misconduct, personal injury or mandatory law, aggregate liability is capped at the fees excluding tax paid for the affected service during the preceding twelve months.
11 - Third-party tools and subscriptions
The Customer remains responsible for subscriptions and payments for LinkedIn Sales Navigator, CRM, automation and other tools taken in its name. A licence advanced by the Provider is recharged as set out in the quotation.
The Provider is not responsible for outages, account restrictions or changes attributable to LinkedIn, Calendly, Stripe, Stripy, Microsoft, hosting providers or other third parties.
12 - Intellectual property
The Provider retains ownership of its methods, know-how, templates, frameworks, tools, generic materials and pre-existing items. Once fully paid, the Customer receives a non-exclusive, non-transferable right to use bespoke deliverables for internal business needs.
The Customer warrants that it holds all required rights in materials it provides and remains responsible for their legality and related third-party claims.
13 - Confidentiality
Each party protects the other’s technical, commercial, financial and strategic confidential information and uses it only for the assignment. This duty continues for three years after the engagement, subject to public information and legally required disclosures.
14 - Personal data
NEEBSURA CONSULTING processes data required for enquiries, appointments, quotations, contracts, services, training, payments, invoicing, accounting and legal claims. The legal basis may be pre-contractual steps, contract, legal obligation, legitimate interests or consent.
Recipients may include authorised personnel and necessary providers such as hosting, email, Calendly, Stripe, Stripy, video conferencing, CRM and accounting services. Individuals may exercise applicable rights at admin@neebsuraconsulting.eu and complain to the CNIL. Further information appears in the Privacy Policy.
15 - Force majeure
Neither party is liable for failure caused by force majeure within Article 1218 of the French Civil Code. Affected duties are suspended. After thirty days, either party may end the affected service, subject to payment for completed work and committed costs.
16 - Evidence and electronic communications
Electronic correspondence, signed quotations, booking confirmations, payment records and system data are admissible evidence. Electronic signatures and online acceptance take effect in accordance with applicable law.
17 - Changes to these terms
The version accepted on the order date applies. New website versions apply to future orders and do not amend existing contracts unless the parties agree or mandatory law requires it.
18 - Governing law and disputes
French law governs these terms, quotations and services. The parties first seek an amicable solution. Failing agreement, courts have jurisdiction under ordinary rules. Where both parties are merchants, the courts within the Paris jurisdiction have exclusive jurisdiction.
19 - General terms and language
If any provision is invalid, the remainder continues. Failure to exercise a right is not a waiver, and the Customer may not assign the contract without written permission.
These terms are drafted in French. This English translation is provided for information; the French version prevails in the event of inconsistency.
